I. NAME
This Association shall be known as the San Diego Chapter of the Industrial Relations Research Association
II. PURPOSE
The purposes of the San Diego Chapter are:
The encouragement and dissemination of research and information in all aspects of the field of industrial relations.
The promotion of full discussion and exchange of ideas concerning issues in the field of industrial relations.
The improvement of the materials and methods of instruction in the field of industrial relations.
The Association will take no partisan attitude on questions of policy in the
field of industrial relations, nor will it commit its members to any position on
such questions.
III. MEMBERSHIP
Any person interested in its purposes may become a member of the local Chapter upon completion of the membership application and payment of local dues.
The membership year is July 1 through June 30 of the following year.
Members shall pay annual dues as determined by the Executive Board. To encourage the participation of students, the Executive Committee shall set a discounted dues amount for full-time students.
IV. OFFICERS, EXECUTIVE BOARD AND ADVISORY BOARD
The Chapter shall have the following Officers: President, Vice President, Past President
,Secretary and Treasurer, whose terms shall be for one year, or until their successors are elected and installed. The Officers comprise the Executive Board which shall govern Chapter business and set policies necessary for the efficient operation of the Chapter. All Officers must be a member in good standing of the National IRRA as required by the National IRRA By-Laws.The Executive Board may also appoint an Advisory Board comprised of equal members of labor, management and neutral representatives. The Advisory Board shall advise and assist with programs, speakers and other Chapter activities as requested by the President.
Officers shall be elected and installed at the final meeting of the Chapter's membership year for the next membership year.
A Nominating Committee shall be appointed by the outgoing President of the Chapter by March of each year. At the final meeting of the membership year, the Nominating Committee Chairperson shall present a slate of candidates to fill each office and conduct the election. Further nominations may be made from the floor. If floor nominations are received, the election shall be by written ballot. If no floor nominations are received, a voice vote will suffice.
The President shall preside at all meetings of the Chapter. In case of the President's absence, the Vice President or Past President shall assume the President's duties.
The Secretary shall keep the records of the Chapter, the Chapter membership list, and shall be responsible for notifying members of meetings and circulating of bulletins or other publications.
The Treasurer shall collect all monies, make appropriate disbursements, keep records of financial transactions, and shall have custody of the funds of the Chapter.
V. MEETINGS
The Chapter shall meet at least four times per year.
For the transaction of business at any meeting of the Chapter, a quorum shall consist of fifteen (15) members or fifteen percent (15%) of the membership, whichever is less.
VI. AMENDMENTS TO BY-LAWS
These By-laws may be amended as follows:
The Secretary shall mail or email each member in good standing a notice that a proposed amendment will be read at a specified meeting and a copy of the proposed amendment.
The proposed amendment shall be read at the regular meeting specified in the notice, and voted on at the next meeting following this reading.
The By-law amendments shall be adopted upon a favorable vote of a majority of the members present and voting.
